Partner Executive Agreement

This Agreement governs your engagement as a Field & Sales Executive ("Partner Executive", "you") on the Eventnet Executive Panel (executive.eventnet.in). By applying, being approved, or using the Executive Panel, you agree to be bound by this Agreement.

1. About Eventnet and This Agreement

Eventnet Technologies Private Limited ("Eventnet", "we", "us") operates an online marketplace connecting customers with independent event-service Vendors. Partner Executives assist Eventnet by identifying, onboarding, and supporting Vendors in an assigned territory in exchange for a commission share.

This Agreement is governed by the Information Technology Act, 2000, the Indian Contract Act, 1872, the Digital Personal Data Protection Act, 2023, and other applicable Indian law.

2. Nature of Engagement

You are an independent contractor, not an employee of Eventnet. This Agreement does not create an employer-employee relationship, partnership, joint venture, or agency (except as expressly stated for onboarding Vendors on Eventnet's behalf).

  • You are not entitled to salary, provident fund, ESI, gratuity, leave, or any other statutory employment benefit
  • You control your own working hours and methods, subject to meeting the onboarding and conduct standards in this Agreement and the Partner Executive Guidelines
  • You are responsible for your own income tax filings on commission earned; Eventnet deducts TDS where required by law
  • Engagement begins only upon Eventnet's approval of your application (including KYC verification) and continues until terminated by either party

3. Eligibility and Application

  • You must be at least 18 years old and legally competent to enter into contracts under Indian law
  • You must submit accurate identity and address verification documents (Aadhaar, PAN, address proof, photograph) as part of the application
  • Eventnet reviews applications, may conduct an interview, and may approve or reject any application at its sole discretion
  • Providing false, forged, or misleading information in your application is grounds for immediate rejection or termination, and may be reported to appropriate authorities

4. Your Responsibilities

  • Onboard only genuine Vendors with valid, verifiable business documents
  • Represent Eventnet honestly — never make false promises about guaranteed leads, earnings, or booking volumes to Vendors
  • Never collect fees, cash, deposits, or advances from Vendors through any channel outside the Eventnet platform
  • Maintain strict confidentiality of all Vendor and customer information you access through the Executive Panel
  • Do not engage in any conflict of interest with Vendors in your assigned territory (e.g. holding an ownership stake in a Vendor business you onboard)
  • Keep your assigned territory coverage active and respond to onboarding tasks assigned to you within the timeframes shown in the Executive Panel

5. Commission and Payouts

  • You earn a commission share on qualifying bookings made by Vendors you onboarded, at the rate shown in your Executive Panel dashboard at the time of onboarding
  • Commission is calculated on completed, non-cancelled, non-refunded bookings only
  • Payouts are made monthly to your verified bank account, subject to successful verification and any applicable holds for disputes or fraud review
  • Eventnet deducts TDS in accordance with Indian tax law before disbursement, where required
  • Eventnet may revise commission rates, territory assignments, or the onboarding process at any time; changes apply prospectively to bookings made after the change takes effect
  • No commission is payable on Vendors onboarded through fraudulent, duplicate, or self-dealing activity, and any commission already paid on such Vendors may be recovered by adjustment against future payouts

6. Data Access and Confidentiality

Through the Executive Panel you may access Vendor and customer personal data (names, contact details, KYC documents, booking and payment information) strictly for the purpose of onboarding, support, and territory management.

  • You must not copy, export, store locally, or share this data for any purpose other than your Eventnet duties
  • You must not use Vendor or customer contact information for personal solicitation, marketing, or any competing business
  • Your confidentiality obligations survive termination of this Agreement

7. Prohibited Conduct

  • Collecting or soliciting any payment from a Vendor outside the Eventnet platform
  • Falsifying Vendor documents or onboarding information
  • Onboarding Vendors you have a personal or financial stake in without prior written disclosure to Eventnet
  • Sharing your Executive Panel login credentials with any other person
  • Harassing, threatening, or misrepresenting Eventnet to Vendors or customers
  • Any activity that constitutes fraud, cheating, or a criminal offence under Indian law

8. Termination

Either party may terminate this engagement at any time, with or without cause. Eventnet may terminate immediately for violation of this Agreement, fraud, or conduct harmful to Vendors, customers, or the platform.

  • On termination, your Executive Panel access is revoked immediately
  • Commission already earned on completed bookings prior to termination remains payable on the next regular payout cycle, subject to standard verification
  • Your confidentiality and data-handling obligations under Section 6 continue after termination

9. Indemnification

You agree to indemnify and hold harmless Eventnet Technologies Private Limited, its directors, employees, and affiliates from claims, damages, losses, and costs arising from your breach of this Agreement, your conduct toward Vendors or customers, or your violation of applicable law.

10. Limitation of Liability

To the maximum extent permitted by law, Eventnet's aggregate liability to you under this Agreement shall not exceed the total commission paid to you in the three months preceding the claim.

11. Dispute Resolution and Grievance Redressal

Grievance Officer: For complaints, contact grievance@eventnet.in. We acknowledge within 24 hours and aim to resolve within 15 days.

Arbitration: Unresolved disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, seated at Indore, Madhya Pradesh, India, conducted in English.

Governing Law: This Agreement is governed by the laws of India. Subject to arbitration, courts at Indore, Madhya Pradesh have jurisdiction.

12. Changes to This Agreement

Eventnet may update this Agreement from time to time. Material changes will be communicated via the Executive Panel, email, or WhatsApp. Continued use after the effective date constitutes acceptance.
